Terms of Service

These VentureKit Terms of Service (“VentureKit Terms”) govern your purchase and use of VentureKit, a digital product offered by VC Beast, LLC (“VC Beast,” “we,” “us,” or “our”). By purchasing, accessing, or using VentureKit, you agree to be bound by these VentureKit Terms in addition to the VC Beast Terms of Use and Privacy Policy, each of which is incorporated herein by reference. In the event of a conflict between these VentureKit Terms and the general Terms of Use, these VentureKit Terms shall control with respect to VentureKit.

If you do not agree to these terms, do not purchase or use VentureKit. You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements.

VentureKit is a digital product that generates customized fund launch documents based on your questionnaire responses. Upon completing payment and the onboarding questionnaire, our AI-powered system generates a suite of documents, which may include strategy memos, pitch deck frameworks, financial models, legal document templates, operational playbooks, and brand materials (collectively, “Generated Documents”).

Generated Documents are delivered digitally via your secure order status page and email. The specific number, type, and content of Generated Documents may vary and are subject to change as we improve the product.

VentureKit does not provide — and no Generated Document constitutes — legal, financial, investment, tax, accounting, or regulatory advice. Generated Documents are starting frameworks for educational and planning purposes only and are not substitutes for professional counsel.

Legal review required. You must engage qualified legal counsel licensed in your jurisdiction to review all legal documents before execution, including but not limited to limited partnership agreements (LPAs), subscription agreements, side letters, advisory agreements, and management company operating agreements. Sections marked “[ATTORNEY REVIEW REQUIRED]” require mandatory review by licensed counsel; however, the absence of such markings does not indicate that legal review is unnecessary.

Financial review required. You must consult with qualified financial advisors before making fund structuring, economic, or investment decisions. Financial models and projections are illustrative only and should not be relied upon as forecasts of actual performance.

Regulatory compliance. Fund formation, securities offerings, and investment management are subject to extensive federal, state, and international regulation. You are solely responsible for ensuring compliance with all applicable laws and regulations, including but not limited to SEC regulations, the Investment Company Act, the Investment Advisers Act, state blue sky laws, anti-money laundering (AML) requirements, and know-your-customer (KYC) obligations. Nothing in the Generated Documents should be construed as ensuring or implying regulatory compliance.

All Generated Documents are produced by artificial intelligence systems. While we strive for quality and relevance, AI-generated content may contain errors, omissions, inaccuracies, outdated information, hallucinated data, or content that does not fully apply to your specific circumstances, jurisdiction, or fund structure.

You are solely responsible for reviewing, verifying, and adapting all Generated Documents before any use. VC Beast makes no representations or warranties regarding the accuracy, completeness, legality, suitability, or fitness for any particular purpose of any Generated Document. You acknowledge that reliance on Generated Documents without independent professional review is at your own risk.

AI systems are trained on data that may not reflect the most current laws, regulations, or market practices. Generated Documents should be treated as rough drafts requiring substantial human review and customization.

VentureKit is a digital product with immediate, automated delivery. Payment is processed securely by Stripe, Inc. All prices are in U.S. dollars and are exclusive of any applicable taxes.

Because Generated Documents are created immediately and customized to your specific inputs, all sales are final once document generation has been initiated. No refunds, returns, or credits are available after generation begins.

Technical failure exception. If you experience a verifiable technical failure that prevents document delivery (generation system failure, missing documents due to a system error, or inability to access your order), contact us at support@vcbeast.com within 14 days of purchase. We will investigate and, at our sole discretion, either resolve the issue or provide a full refund.

Dissatisfaction with the content, quality, or applicability of Generated Documents does not constitute grounds for a refund, given the inherent limitations of AI-generated content disclosed herein.

Your Generated Documents. Subject to your compliance with these VentureKit Terms and full payment, you are granted a perpetual, non-exclusive, worldwide license to use, modify, adapt, and distribute the Generated Documents created for you in connection with your fund formation and business operations. You retain full ownership of your questionnaire responses.

Our platform and technology. The VentureKit platform, including all software, algorithms, prompts, prompt engineering, templates, system architecture, generation methodology, user interface, and underlying intellectual property, is and shall remain the exclusive property of VC Beast, LLC, protected by copyright, trade secret, and other intellectual property laws. Your purchase grants you a license to use the output (Generated Documents), not the system that produces them.

No transfer of platform IP. Nothing in these Terms grants you any right, title, or interest in the VentureKit platform, its underlying technology, or any improvements thereto. You may not reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or prompt engineering of VentureKit.

Feedback. If you provide suggestions, ideas, or feedback regarding VentureKit (“Feedback”), you grant VC Beast an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Services without obligation or compensation.

Aggregate data. We may use aggregated, de-identified data derived from VentureKit usage to improve our products, generate benchmarks, and conduct research. Such aggregate data will not identify you or your fund.

Your questionnaire responses are transmitted securely and used solely to generate your documents. We store your order data (name, email, questionnaire responses, and generated documents) to fulfill your order, enable ongoing access to your documents, provide customer support, and comply with legal obligations.

Your questionnaire data is processed through our AI provider (currently Anthropic) for document generation. Anthropic processes this data in accordance with its privacy and data handling policies. We do not sell your data to third parties.

VENTUREKIT AND ALL GENERATED DOCUMENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VC BEAST DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND LEGALITY.

WITHOUT LIMITING THE FOREGOING, VC BEAST MAKES NO REPRESENTATION OR WARRANTY THAT: (A) GENERATED DOCUMENTS ARE LEGALLY SUFFICIENT OR COMPLIANT WITH ANY APPLICABLE LAW OR REGULATION; (B) GENERATED DOCUMENTS ARE SUITABLE FOR ANY PARTICULAR FUND STRUCTURE, INVESTMENT STRATEGY, OR JURISDICTION; (C) FINANCIAL MODELS OR PROJECTIONS REFLECT REALISTIC OUTCOMES; OR (D) GENERATED DOCUMENTS DO NOT REQUIRE MODIFICATION OR PROFESSIONAL REVIEW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VC BEAST, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF VENTUREKIT OR RELIANCE ON GENERATED DOCUMENTS, INCLUDING BUT NOT LIMITED TO: DAMAGES ARISING FROM FUND FORMATION DECISIONS; LP NEGOTIATIONS; REGULATORY ACTIONS OR COMPLIANCE FAILURES; INVESTMENT LOSSES; MISSED BUSINESS OPPORTUNITIES; REPUTATIONAL HARM; OR ANY OTHER FINANCIAL OR BUSINESS OUTCOME.

IN NO EVENT SHALL VC BEAST’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO VENTUREKIT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR YOUR VENTUREKIT PURCHASE.

This limitation applies regardless of the legal theory, whether based on warranty, contract, tort (including negligence), strict liability, or otherwise, and even if VC Beast has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.

VC Beast, LLC is not a registered investment adviser under the Investment Advisers Act of 1940, a broker-dealer under the Securities Exchange Act of 1934, a law firm, an accounting firm, or a tax advisor. VentureKit does not provide securities advice, legal services, accounting services, or tax planning.

Fund formation and the offer and sale of fund interests are securities transactions subject to federal and state securities laws, including but not limited to Regulation D of the Securities Act of 1933, the Investment Company Act of 1940, state blue sky laws, and anti-fraud provisions. You are solely responsible for determining whether your fund and its offering comply with all applicable securities laws and for engaging qualified legal counsel to ensure compliance.

Generated Documents relating to fund terms, economics, or investor communications have not been reviewed or approved by any regulatory authority. The inclusion of template legal language in Generated Documents does not constitute the practice of law and does not create an attorney-client relationship between you and VC Beast.

These VentureKit Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these VentureKit Terms or your use of VentureKit shall be resolved through binding arbitration in accordance with the dispute resolution provisions set forth in the VC Beast Terms of Use.
